Capital Croissance makes equity investments in French SMEs through transfer or growth capital transactions with a dual objective: to accelerate their growth and make them bigger by offering tailor-made support to management teams for their strategic projects.

TYPES OF TRANSACTIONS

Capital Croissance specialises in 3 types of transactions for SMEs:

Transferring
MBO / MBI

  • As the managing director of an SME, your majority shareholder (family, industrial group, etc.) wants to sell its shares and you are looking for a partner to help you to buy them back (MBO)
  • As the managing director and principal shareholder of your company, you want to sell your shares and transfer the management of the company (retirement, new project, etc.) but have no in-house successor (MBI)

Securing
OBO & reclassification of securities

  • As managing director and principal shareholder you want to secure a portion of your assets while retaining control of the company’s capital and management (OBO)
  • You want to reorganise your round table to give your minority shareholders liquidity (reclassification of securities)

Growing
Growth capital

  • You want to implement a capital increase for your development projects in France and abroad or to finance external growth transactions

OUR MAIN
INVESTMENT CRITERIA

  • A turnover of between €3 and €50 million
  • A talented and ambitious management team
  • An EBITDA of between €1 million and €5 million
  • A ticket of between €2 and €15 million per transaction

  • A reference shareholder position (majority or minority stake)

Customised support adapted to the needs of managers :

Availability

Availability to accompany the development of our holdings: we hold a fund at the beginning of the investment period and for a duration of 12 years. Two to three members of the team are dedicated to accompanying directors.

Dialogue

Close relationship of trust and cooperation with the management team of our holdings, but without interfering in the operational management of the company.
